The Situation

Virasoft Corporation, a venture-backed digital pathology startup based in Turkey, had already proven itself locally. Led by founders Gökhan Hatipoğlu and Samet Ayaltı, the company had strong institutional investors and growing B2B traction in healthcare.

To expand globally, they formed Virasoft Corporation (Delaware C-Corp) in the U.S. but quickly realized that simply incorporating wasn’t enough. Their U.S. entity was disconnected from the Turkish HQ, with no payroll structure, unclear legal alignment, and no operational or compliance framework.

The Journey

As Virasoft expanded its U.S. presence, the founders needed more than accounting support, they needed a strategic finance partner to help build the right foundation for long-term growth.

One of our first projects was evaluating whether the U.S. entity should become the group’s global parent. Working closely with the founders and legal teams in both the U.S. and Turkey, we modeled the legal, tax, and operational implications of the restructuring. Although this structure is often attractive to investors, our analysis showed that postponing the transition would reduce legal complexity, minimize cross-border compliance, and keep operating costs lower. Together, we made the strategic decision to keep the entities separate until the timing was right.

As the business continued growing, we supported the founders in establishing their U.S. operations. We worked alongside Samet’s immigration attorney during his successful work permit process, then helped build a compliant payroll and HR infrastructure by setting up multi-state payroll, developing employee handbooks, creating compensation tools, and guiding the team through U.S. employment regulations.

Alongside these initiatives, we became Virasoft’s outsourced finance department, managing bookkeeping, federal and multi-state tax compliance, international tax matters, and transfer pricing-compliant intercompany agreements.

We also worked directly with the company’s institutional investors, providing financial models, hiring scenarios, burn rate projections, and strategic insights to support key growth decisions. We became a trusted advisor, helping the founders navigate complex cross-border decisions with confidence while building a scalable U.S. business.

The Transformation

In under a year, Virasoft went from a passive U.S. entity to a fully operational, investor-aligned international business with:

  • A U.S.-relocated co-founder on payroll
  • Fully compliant multi-state hiring and compensation
  • Reliable bookkeeping and tax filings
  • Clear cashflow visibility and decision-ready financials
  • Intercompany contracts that meet transfer pricing standards
  • A go-to strategic partner, Tukel, for every U.S. finance, tax, or HR question

With the right strategic partner, founders can confidently navigate cross-border complexity, support investors, and build a stronger foundation for long-term growth.
