The Situation
Matter Collection, Posterity Industries, and Wonder Substance are three Delaware C-Corporations founded and led by Osmar, a highly successful and creative entrepreneur from Mexico.
Osmar and his team design innovative, premium physical products, launch them through Kickstarter, generate millions of dollars per product launch, and then scale those products into long-term brands via their own e-commerce platforms and marketplaces.
Their operating model is inherently complex:
- Product design and R&D in Mexico
- Manufacturing in China
- Sales, collections, and IP held by U.S. corporations
- Warehousing and fulfillment across China, Hong Kong, the U.S., and Ireland
- E-commerce via Squarespace and Amazon
- Large, heavy products with meaningful shipping and customs costs
- European VAT and indirect tax considerations handled with third-party specialists
This was not a single business, it was a multi-entity, multi-country ecosystem.
The Journey
From day one, our role extended far beyond accounting. As Osmar built multiple U.S. companies around his product portfolio, we worked closely with him to design a scalable financial and corporate structure. Together, we defined where intellectual property, brands, and product lifecycles should sit, how revenue would flow between entities, and how each new Kickstarter launch could transition into a long-term e-commerce business.
As the companies grew, we identified an opportunity to significantly improve cash flow. By transitioning the businesses from cash basis to accrual accounting, applying the appropriate accounting treatments, and coordinating the required IRS filings, we helped the group achieve over $2 million in tax deferrals. This allowed capital to remain in the business, providing additional resources to fund future growth.
To support better decision-making, we built a financial reporting system that measured profitability at the product level rather than only by legal entity. Revenue, manufacturing costs, shipping, inventory, and indirect expenses were tracked across each product line, giving Osmar clear visibility into margins, pricing decisions, inventory economics, and long-term product performance.
As operations expanded globally, we continued advising on inventory management, international logistics, and cross-border tax coordination.
When the founders later decided to separate the business, we also played a key strategic role by coordinating with legal teams, supporting the financial restructuring, facilitating the allocation of assets and intellectual property, and helping execute over $1 million in intercompany funding structures. Throughout the process, the businesses continued operating without disruption while each company was positioned for its next stage of growth.
The Transformation
Today, Osmar’s companies operate with:
- $2M+ in tax deferral and cash flow optimization
- $1M+ in structured intercompany funding
- Clean, scalable entity and IP structures
- Product-level profitability tracking
- Global inventory and COGS visibility
- Smooth partner separation with no disruption
- A repeatable model for future product launches
Basic accounting fails fast for a growing class of founders.
